GameSparcs has always adhered to integrity in all business activities, prohibiting corruption and any form of fraudulent behavior. To help suppliers better understand the company's ethical standards and integrity management policies, we have established the "Code of Ethical Conduct" and "Integrity Management Procedures and Behavior Guidelines" to be followed. All commercial transactions consider the legality of the counterparties and any history of dishonest behavior, ensuring that all business activities comply with integrity principles. Contracts explicitly state that in cases of dishonesty that harm the company's interests, the contract may be unconditionally terminated. The company has established "Supplier Management Measures" and "Supplier Evaluation Forms" to manage and assess supplier behavior, including corporate social responsibility as a factor in supplier selection. Suppliers who demonstrate integrity and fulfill corporate social responsibility are given priority, and sustainability assessments have been incorporated into the supplier evaluation process. For example, contracts with suppliers include compliance with both parties' sustainability policies, with sustainability-related standards agreed upon between the company and the supplier. Suppliers who operate with integrity and fulfill corporate sustainability responsibilities are prioritized to ensure that partners comply with relevant environmental, labor, and human rights standards. Through the establishment of a comprehensive supply chain management mechanism, GameSparcs collaborates with suppliers to create a sustainable future.


 

Supplier
Evaluation

The company evaluates new suppliers and creates basic records for them. Regular evaluations are conducted annually. In addition to assessing whether suppliers meet the company's business cooperation requirements, evaluations also consider whether suppliers have any major illegal activities that impact the environment and society, as well as whether they comply with relevant social responsibility laws (such as environmental protection, occupational safety, and labor rights). Ongoing evaluations of supplier cooperation are conducted annually, assessing quality, delivery time, price, capability, service cooperation, and sustainability, to determine which suppliers will continue in cooperation. The supplier evaluation uses a quantitative scoring system for the following criteria: quality, delivery time, price, capability, service cooperation, and sustainability. The evaluation uses a 4-level grading system: (1) ≥ 91 points as a continuous supplier (Excellent), (2) 71-90 points as a continuous supplier (Good), (3) 61-70 points as a conditional continuous supplier (requires communication and coordination for improvement, discussing procurement quantities), (4) < 60 points, suspension of transactions unless the supplied item is a market monopoly product, pending a supplier improvement plan.


 

Supplier Rules

When negotiating with suppliers, all departments must promote the company's adherence to relevant social responsibility laws (such as environmental protection, occupational safety, and labor rights) and include corporate sustainability clauses in contracts with suppliers. Suppliers are required to comply with environmental protection, labor conditions, occupational health and safety, and labor rights regulations as part of the agreement to jointly fulfill corporate social responsibility. If it is determined that a supplier has violated or failed to meet the standards, the company may issue a notice demanding that the supplier fulfill or improve the situation within a specified period. If the supplier does not fulfill or improve within the deadline, the company may terminate or cancel the contract. Each year, the company not only communicates sustainability concepts and goals to suppliers but also strengthens partnerships with well-evaluated suppliers (such as improving quality, reducing costs, ensuring delivery, and sustainability performance). The company's standardized contracts with suppliers already include clauses related to environmental protection, occupational safety, and labor rights. In 2023, an audit of the company's top 10 suppliers showed that one supplier was rated as "conditional for continued cooperation" (requiring communication and coordination for improvement, discussing procurement quantities), while the rest passed the supplier evaluation and were included as continuing suppliers.
